Terms of Service.

01 — The agreement
These terms are between you and Ploton Labs, Inc. ("we", "us"), a Delaware corporation at 8 The Green, STE A, Dover, DE 19901, United States. They govern your use of Paysmith, our product providing verified identities and wallets for AI agents.
By creating an account or using the service, you agree to them. If you are using Paysmith for an organization, you confirm you can bind it to these terms.
02 — Who can use Paysmith
Paysmith is for businesses registered in the United States. You must be a US-registered company, acting in the course of business, and able to enter a binding contract. We do not currently offer the service to individuals acting as consumers, or to businesses registered elsewhere.
You must not use Paysmith if you, your business, or any of its beneficial owners are subject to sanctions, or are located in a sanctioned jurisdiction.
03 — Accounts and identity
Every agent on Paysmith is tied to a real person or company. You must give accurate verification information and keep it current. You are responsible for activity under your account and for the agents you operate, including the rules you set for them.
To open a wallet you must complete identity verification. We may ask for further information at any time, and may suspend or close an account where verification cannot be completed or where information proves inaccurate.
04 — Wallets and payments
Wallets let your agents send and receive money within the rules and limits you set. You are responsible for funding, for the payments your agents make, and for the counterparties they transact with.
The payment services offered through Paysmith are provided by Airwallex US, LLC (the "payment provider").
05 — Fees

Prices are in US dollars and exclude any taxes, which are added where they apply. Plans are billed monthly in advance. Per-user charges are based on the number of users on your account during the billing period.
We may offer a free trial. Billing starts when it ends, unless you cancel before then.
We may change our prices on 30 days' notice, taking effect at your next billing period.
06 — Acceptable use
Don't use Paysmith to break the law or to harm others. You agree not to:
- Use the service for fraud, money laundering, or other illegal activity.
- Misrepresent who an agent acts for, or evade the limits and rules of the platform.
- Attack, probe, or disrupt the service or its security.
- Use the service in a way that violates applicable sanctions or financial regulations.
Businesses we can't support
- Adult content and services — pornography, escort and other sexual services.
- Gambling — casinos, lotteries, betting, games of chance or skill played for money, and tools for placing or pricing bets.
- Drugs and controlled substances — including cannabis, THC and CBD, and drug paraphernalia.
- Weapons — firearms and components, ammunition, weapon blueprints, and military or semi-military goods.
- Counterfeit and infringing goods — anything that infringes someone else's trademark, copyright, patent or other rights.
- Payday and predatory lending.
- Pyramid schemes, multi-level marketing, and get-rich-quick schemes.
- Hate speech and discrimination — products or services promoting discrimination based on race, ethnicity, national origin, religion, sex, sexual orientation, gender identity, disability or serious illness.
- Endangered species, and archaeological or cultural relics.
- Human remains, organs and tissue.
- Shell banks, and companies with bearer shares anywhere in their ownership.
- Transactions with no genuine commercial purpose — pooling third-party funds, or cashing out stored value.
- Anything requiring a licence you don't hold, or offered where it isn't legal.
- Sanctioned people, entities, countries and regions.
Businesses that need our approval first
Tell us before you start, and we'll confirm whether we can support you:
- Financial services — lending, buy-now-pay-later, money transfer or currency exchange, issuing payment instruments, deposit-taking, crowdfunding, guarantees, portfolio or fund management, securities, and trading in FX, derivatives, commodities or money-market instruments.
- Crypto and digital assets — cryptocurrency, virtual assets, NFTs, ICOs, stablecoins, and tokenised real-world assets.
- Handling money for other people — escrow, payment processing, payouts on behalf of third parties, and trust or company service providers.
- Regulated professions and high-value goods — real estate agents, lawyers, notaries, accountants, and dealers in precious metals, stones or other luxury goods.
- Charities, non-profits, political and religious organisations.
- Alcohol, tobacco, nicotine and e-cigarettes.
- Pharmaceuticals and nutraceuticals, including prescription medicines and weight-loss products.
- Chemicals, oil and gas, dual-use goods, and surveillance equipment.
- Dating and matchmaking, live streaming, and chat services.
How your agents use cards
Cards issued through Paysmith are for genuine purchases your agents make on your behalf. Don't use them to:
- get around limits a retailer or platform sets, such as purchase caps or one-per-customer offers;
- open new accounts on a platform that has closed your previous ones;
- take up free trials or new-customer offers in order to resell what you get;
- pay a first instalment and then close or reduce the card to avoid the rest;
- buy things to post reviews that aren't genuine; or
- place pre-authorisations you don't intend to complete, including to inflate crowdfunding totals.
These lists aren't exhaustive. We may decline or stop supporting a business that falls outside what we can accept.
07 — Your controls
You set the rules that govern what your agents can spend. Paysmith enforces those rules and gives you a way to freeze spending. The controls are tools, not a guarantee, and you remain responsible for the limits you choose and the outcomes of your agents' actions.
An instruction given by an agent operating under your account is treated as your instruction. Review your limits before you let an agent transact.
08 — Service availability
We work to keep Paysmith available and reliable, but we provide the service on an "as is" and "as available" basis. We may change, suspend, or discontinue features, and we may suspend an account where use threatens the security or integrity of the service.
09 — Liability
This section is not about your money. The balance in your wallet is yours. It is held by the payment provider, not by us, and nothing in these terms caps, reduces, or forfeits it. Getting it back is governed by the payment provider's terms (§15) and by §11 below. Nothing in this section applies to a claim for funds held in your wallet.
What this section limits is damages — a claim that something we did, or failed to do, caused you a loss.
Unforeseeable loss. We are not responsible for loss or damage that is not foreseeable. Loss is foreseeable if it is obvious that it will happen, or if both of us knew it might happen when you agreed to these terms.
Business losses. Paysmith is a product for businesses. To the extent the law allows, we are not liable for loss of profit, loss of business, business interruption, loss of business opportunity, loss of anticipated savings, or similar losses.
Our cap. To the extent the law allows, our total liability for all claims arising out of these terms in any twelve-month period is limited to the greater of the fees you paid us in that period or US $1,000.
What we never limit. We do not exclude or limit our liability where it would be unlawful to do so. That includes liability for death or personal injury caused by our negligence, and for fraud or fraudulent misrepresentation.
Outside our control. We are not liable for failures caused by events outside our reasonable control, including power or network outages, the acts of a bank or payment network, or a decision by a regulator.
Time limit. Any claim under these terms must be brought within one year of the event that gave rise to it.
10 — Indemnity
You will cover our reasonable losses arising from your use of Paysmith in breach of these terms or the law, including the actions of agents operating under your account.
11 — Changes, and if something goes wrong
Changes to these terms. We may update these terms as the product and the law change. When we do, we will revise the date above and ask you to accept the new version when you next sign in. For a change that materially affects you — including a price change — we will give you 30 days' notice.
Closing your own account. You can close your account whenever you like.
If something doesn't line up. Occasionally we find something that needs sorting out — verification that has gone stale, a business that turns out to sit outside what we can support, or activity that looks like fraud. Where we can, we would rather resolve it with you than end things. What we do depends on what we find.
We may pause part of the service while something is resolved. Usually that means payouts or new cards, while your balance and everything else stay as they are. This is normally because:
- identity verification is incomplete, or a document has expired;
- we need more information about you or a payment; or
- a particular payment or counterparty needs a closer look.
Everything resumes once it's resolved, and we'll tell you what we need.
We may close your account on 30 days' notice where something can't continue but isn't urgent. For example:
- your business turns out to be one we can't support (§06);
- these terms are being breached and it hasn't been put right after we raised it;
- fees are unpaid; or
- we stop offering the service, or stop offering it to businesses like yours.
You keep access during those 30 days so you can move your money and take your data with you.
We may suspend or close your account immediately where we have no realistic alternative:
- we reasonably suspect fraud, money laundering, or other criminal activity;
- the law, a court, a regulator, or sanctions require it; or
- the security or integrity of the service is at risk.
We'll tell you as soon as we're allowed to, and explain what happens next.
Getting your money. Closing your Paysmith account does not close your wallet or forfeit your balance. Funds are returned to you under the payment provider's terms. Where we can, we will tell you how to withdraw a remaining balance before access ends.
12 — Governing law and disputes
These terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. [DISPUTE RESOLUTION: courts or arbitration, seat, and whether class actions are waived — counsel's call.]
13 — General
These terms, together with any document they link, are the entire agreement between us. You may not transfer them without our consent; we may transfer them to an affiliate or successor. If a provision is unenforceable, the rest stands.
